Terms of Service

1. Agreement to Terms

By accessing or using the SyncReady platform at getsyncready.com (“Service”), operated by SyncReady (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to create an account. By registering, you represent that the information you provide is accurate and that you are authorized to enter into these Terms.

3. Accounts

You are responsible for maintaining the security of your account credentials and for all activity under your account. You must notify us immediately at support@getsyncready.com if you suspect unauthorized access.

4. Your Content & Intellectual Property

You retain full ownership of all music, metadata, artwork, and other content you upload to SyncReady (“Your Content”). By uploading, you grant us a limited, non-exclusive, royalty-free license to host, display, stream, and transmit Your Content solely to operate and improve the Service — for example, generating waveforms, providing playback on pitch pages, and enabling downloads you authorize.

You represent and warrant that you have all necessary rights, licenses, and clearances to upload and share Your Content through the Service, and that doing so does not infringe on any third party’s intellectual property or other rights.

5. Acceptable Use

You agree not to:

• Upload content you do not have rights to share
• Use the Service to distribute malware, spam, or illegal material
• Attempt to reverse-engineer, scrape, or interfere with the Service’s infrastructure
• Misrepresent your identity, ownership, or rights clearance status
• Share login credentials or allow others to access your account

We reserve the right to suspend or terminate accounts that violate these Terms without prior notice.

6. Subscriptions & Billing

SyncReady offers a free tier and paid Pro subscriptions. Paid plans are billed in advance on a monthly or annual basis through Stripe. All fees are non-refundable except as required by applicable law.

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period — you will retain Pro features until then.

We may change pricing with at least 30 days’ notice. Continued use of a paid plan after a price change constitutes acceptance of the new pricing.

7. Pitch Pages & Inquiries

SyncReady enables you to create shareable pitch pages and receive license inquiries from third parties (e.g., music supervisors). We facilitate these connections but are not a party to any licensing agreements between you and third parties. All license negotiations, terms, and payments for sync placements are between you and the requesting party.

8. Split Sheets & Attestations

The split sheet and attestation features are organizational tools to help you document contributor agreements. They do not constitute legal advice and are not a substitute for independent legal counsel. You are solely responsible for the accuracy of split information and rights representations you make on the platform.

9. Limitation of Liability

To the maximum extent permitted by law, SyncReady and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenue, data, or business opportunities — arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising from these Terms or the Service shall not exceed the amounts you paid us in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

11. Termination

You may delete your account at any time. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We will make commercially reasonable efforts to allow you to export Your Content for 30 days following termination, after which it may be permanently deleted.

12. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or a prominent notice on the Service. Your continued use after such notice constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
